Please read this release carefully, as it sets forth important legal obligations between you and Saturday Drive, Incorporated. In this release, the “Participant” means you, your heirs, legal representatives, and assigns, and the “Company” means Saturday Drive, Incorporated, its agents, employees, and assigns.
1. Grant of Rights
The Participant hereby grants the Company an absolute, perpetual, irrevocable, royalty-free right to use, edit, distribute, and publish the video(s) provided by the Participant for promotional, marketing, advertising, and any other lawful purposes. This includes, but is not limited to, use on the Company’s website, social media, and other marketing channels.
2. Usage
The Company may use the video(s) in whole or in part, and the Participant agrees that the Company may edit, alter, and combine the video(s) with other media at its discretion. The Company may reproduce, distribute, create derivative works of, and otherwise use the video(s) in any lawful way in which the Participant could use the video(s).
3. No Compensation
The Participant acknowledges that the Participant will not receive any compensation for the use of the video(s), and the Company has not promised the Participant any remuneration, thing of value, future action, or any other compensation in exchange for or to induce Participant to provide the video(s) or execute this release.
4. Ownership and Release
The Participant hereby represents that the Participant owns the rights to the video(s) and that the contents of the video(s), the Participant’s execution of this release, and the Participant’s transmission of the video(s) to the Company do not infringe on any rights of any third party. The Participant hereby forever releases, waives, and discharges the Company from all claims, demands, damages, and liabilities arising out of or in connection with the video(s) and/or the Participant’s name, likeness, image, voice, and/or appearance, including but not limited to all claims for invasion of privacy, right to publicity, misappropriation or misuse of image, and/or defamation. The Participant further agrees to forever indemnify, save, defend, and hold harmless the Company from all claims, demands, damages, and liabilities arising out of or in connection with the video(s) and/or the Participant’s name, likeness, image, voice, and/or appearance.
5. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Tennessee, United States.
6. Entire Agreement
This release represents the entire understanding between the Company and the Participant with respect to its subject matter, and this release supersedes all prior agreements and discussions. This release may only be modified in a writing signed by both the Participant and the Company and executed with the same formality as executed herein.
